New issue of Corporate Law & Governance Review journal

The editorial team of Virtus Interpress is glad to present the second issue of the journal “Corporate Law & Governance Review” in 2025. Methodologically diverse and thematically broad, the published studies cover jurisdictions from Southeast Asia to the Middle East, North Africa, Sub-Saharan Africa, Western Balkans, and beyond. This geographical and thematic range enriches the academic conversation and fosters a truly global dialogue on emerging governance trends and legal innovation.
This issue features a rich collection of thirteen articles that offer fresh perspectives and insightful analyses on a wide array of contemporary legal, regulatory, and governance-related challenges. The contributions span a diverse range of topics, including decentralisation policies, green public procurement, cybersecurity frameworks, tax treatment of small and medium-sized enterprises (SMEs), business failure predictors, securities law reform, unjust enrichment, customary law, gender equality in entrepreneurship, outer space law, audit committee reforms, and legal harmonisation in commercial transactions.
The first study by Alma’arif, Irfan Ridwan Maksum, and Achmad Lutfi examines decentralization policy trends in Indonesia during the twenty-four years of government. Specifically, this research aims to 1) document the size and growth of the literature on the topic; 2) identify key authors, journals, and documents; 3) categorize the countries with the highest productivity rates; 4) highlight emerging topics and their relationship to the conceptual structure of each domain; and 5) address future research relating to each domain.
Karem Sayed Aboelazm, Muayad Ahmad Obeidat, Fady Tawakol, Nada Zuhair AlFil, and Fatima Hafiz Irshad Ul Haq highlight green public procurement, the difference between it and sustainable public procurement, and the benefits that green public procurement can achieve for the environment and its preservation. This paper also seeks to know how public procurement performance can be improved by designing and implementing green public procurement policies to stimulate environmental sustainability in the public sector and to provide a model for applying green public procurement to government agencies.
Newman Wadesango and Edwin Maveneka examine the cyberthreats faced by local authorities in Masvingo Province and evaluate the effectiveness of their cybersecurity policies in preventing and detecting these crimes. This study underscores the urgency for the government to develop and implement robust cybersecurity policies for local authorities, with the auditor general tasked to regularly audit their effectiveness.
Yanto, Eko Suyono, Siti Maghfiroh, Eliada Herwiyanti, Poppy Dian Indira Kusuma, and Atiek Sri Purwati aim to elucidate the income tax treatment for the micro, small, and medium enterprises (MSMEs) industry in Indonesia and the tax facilities available to facilitate the MSME industry’s growth into a large business unit, following current Indonesian tax laws, addressing the widespread issues within this industry regarding comprehension of applicable tax regulations and enhancing compliance among MSME taxpayers.
Nabil Arzou and Miloudi Kobiyh examine the financial, legal, and organizational factors of business failure in Moroccan companies. It highlights the importance of understanding these determinants for formulating effective preventive measures and supporting business stability, and detects a significant involvement of legal, financial, and organizational factors.
Jiannan Yu, Mohamat Sabri Hassan, and Hamezah Md Nor investigate the impact of securities law transition on the value relevance of earnings and book value. The results reveal that the value relevance of earnings increased after the securities law amendment, while the value relevance of the book value decreased during the same period. These results indicate that under a stricter securities law, investors put more emphasis on the earnings than on the book value.
Ali Salem Ali Al-Marri aims to clarify the theory of unjust enrichment as an independent source of obligation when filing a case for unjust enrichment, with particular focus on its incorporation into the new Saudi Civil Transactional Law. This study charts the evolution of the theory, defines the conditions under which unjust enrichment arises, and categorizes its various forms, which can involve money, services, or other benefits, and also clarifies the procedural requirements when submitting an unjust enrichment claim to the courts and explains how restitution is assessed.
Petrit Nimani, Shefqet Avdija, and Artan Maloku examine the influence of customary law on modern legal systems in Albania, Kosovo, and Montenegro, focusing on its integration, challenges, and implications. The authors’ findings highlight both the persistence and transformation of customary law, revealing areas of conflict with human rights principles and modern legal structures. This study contributes to the broader discourse on legal pluralism, offering insights into the adaptation of traditional norms within modern legal frameworks.
Bambang Supriyono, Mohammad Said, Suhartono Winoto, Erlita Cahyasari, and Nurjati Widodo aim to explore the relationship between performance in local government and public satisfaction, which is influenced by several determinants. The bibliometric analysis shows a network of factors that affect performance management in local governments. The characteristics obtained include public satisfaction, trust, decision authority, administrative reform, and good governance. Good performance management in local government can provide adequate services to the community to achieve public trust.
Tran Thi Quyen compares Vietnam’s structured approaches to gender equality with those of other ASEAN nations. Utilizing document analysis of relevant legal texts and policy documents in Vietnam, Thailand, Indonesia, the Philippines, Malaysia, and Singapore, the study identified significant disparities in legal provisions and their implementation. Findings indicated that while Vietnam establishes comprehensive support mechanisms, challenges in enforcement hinder real assistance for women entrepreneurs, which exhibit both similarities and differences compared to other ASEAN countries, highlighting varied levels of prioritization and legal provisions.
Hamda Bin Sulaiman and Sheer Abbas explore the role of international law, particularly the Moon Agreement, in regulating access to and protection of lunar resources, such as Helium-3. While existing treaties like the Outer Space Treaty provide foundational principles, they fall short in addressing the emerging realities of space mining and commercial exploitation. The findings suggest the need for a more cohesive and enforceable governance model capable of promoting sustainable and cooperative resource use.
Hamza Naim, Lata Rani, Takrar Ahmad Yattoo, Mohd. Anas, Mohammed Nizamuddin, and Gouher Ahmed consider the policies and amendments as per the enactment of the Companies Act, 2013 in India regarding the audit committee measures, whether the companies abide by the amendments, and what impact it has on the firm’s performance. The results states that the audit committee measures follow the norms as per the Companies Act, 2013 thus maintaining the audit committee quality but the audit committee quality does not enhance the firm performance as this is due to the reason that the audit committee measures incorporation, functioning and implementation at the ground level is not up to the mark till present.
The final paper by Minerva Dërmaku, Burim Dërmaku, and Ardian Emini explores the legal and economic implications of interest on late payments in commercial transactions in Kosovo. It addresses the unclear nature of such interest, whether it serves as compensation, a penalty, or both, and highlights inconsistencies in its calculation across shifting legal frameworks. The research aims to clarify its legal classification, assess its economic impact, and evaluate its consistency with fairness and financial stability.
